General Terms and Conditions and Confidentiality of the (Prospective) Cooperation
 
 
 

  1. §1. As a service provider specializing in „Location Scouting“ & Event Production, the user of these Terms and Conditions does not share information and network free of charge. Potential business partners are also obligated within the scope of these Terms and Conditions to exclusively utilize results such as locations from the service provider's network or information obtained through them within the scope of their services. Direct contact or circumvention of the service provider's services constitutes a pre-contractual breach of contract.
  2. §2. A direct business relationship or circumvention of providers from offers, emails, phone calls, databases or other information obtained by the user will result in contractual penalties and claims for damages.
  3. §3. The User's customers or prospective customers acknowledge the User's right to offer accompanying services and production measures (catering, personnel, technical services, etc.) and shall only place orders with third-party service providers after coordinating with the User of these T&Cs.
  4. §4. The (potential) customer or contractual partner shall undertake to treat all information provided by the provider within the scope of project planning and the quotation phase, or which they become aware of without the provider disclosing it, as confidential without time limitation and to use it solely for the purpose of examining a potential collaboration and submitting a quotation to the provider. The (potential) contractual partner is not entitled to use this information, in whole or in part, for purposes other than the aforementioned examination purposes, or to make the information accessible to third parties.
  5. §5. The contractual penalty for a breach during the contract negotiation phase shall be no less than 200% of the respective contract value.
  6. §6. Should the General Terms and Conditions contain individual invalid provisions, the validity of the remaining provisions shall remain unaffected. The parties are obligated to replace the invalid provision with a valid one that comes closest to the objective of the agreement, taking into account the economic interests of the parties. The same shall apply if a gap in the agreement requiring supplementation becomes apparent during the performance of the agreement.
